Associate General Counsel
The Associate General Counsel - Corporate Securities and Compliance is responsible for managing the Company’s SEC filings and supporting a broad range of Dutch Bros’ compliance and risk management strategies and activities.
Key Result Areas (KRAs):
Manage company SEC filings and public company compliance in cooperation with the General Counsel and Chief Financial Officer.

Collaborate and assist with the drafting of SEC filings, including Forms 10-K, 10-Q and 8-K

Assist with proxy statement preparation and participate in the annual meeting process

Assist the legal team in conducting securities offerings, preparing registration statements, and managing other activities related to equity transactions

Assist in the management of the company’s insider trading policy, blackout and preclearance processes, 10b5-1 trading plans, related party transactions, and preparation of associated policies, communications, and training materials

Advise on investor relations materials including press releases, investor presentations, annual reports, earnings announcements, investor call scripts, and other communications

Advise management on executive and director compensation, director independence, related party transactions, and other corporate governance matters
Support all compliance functions at Dutch Bros with timely legal advice and support.

Providing legal advice and support to the business units on regulatory and compliance issues in matters including, but not limited to, employment, privacy and data protection & security, and compensation and benefits matters.

Manage disputes related to current or former employees of the company in collaboration with the Human Resources team and outside counsel.

Provide leadership in the development of compliance programs across business units.
Support the Company’s Risk Management Functions.

Provide legal advice and support to the Risk Management Team.

Support crisis response and safety functions.

Assist with the development of risk management processes including claims handling and response, shop safety and security, and loss prevention.
Job Qualifications:

JD degree from an ABA accredited school required.

Licensed to practice law in state of residency, with the ability to obtain limited license to practice in Oregon, if necessary.

A minimum of 7-10 years of experience practicing law required.

At least 5 years of experience in preparing SEC filings, either in-house or as outside counsel to a public company required.

Prior public company experience heavily favored.

Experience with corporate compliance and risk management including privacy, employment, and litigation.

Able to travel to Dutch Bros headquarters in Grants Pass, OR, once per quarter.
