Legal - Senior Corporate Counsel
Summary
The Senior Corporate Counsel, Corporate Transactions will draft, review, and negotiate a variety of commercial contracts for renewable natural gas, compressed natural gas and liquified natural gas projects and other agreements for multiple departments within the company, including the company’s domestic and foreign affiliates and subsidiaries.
Essential Duties and Responsibilities
Draft, review, and negotiate commercial contracts and other documents, such as compressed natural gas and liquefied natural gas station and sales agreements, construction contracts, natural gas purchase and sales contracts, renewable energy credit sales agreements, contracts with federal, state and local governmental entities and agencies, requests for proposal, consulting agreements, employment agreements, settlement agreements, loan and security agreements, confidentiality agreements, real estate leases, software licenses, press releases and marketing materials. Draft and update template agreements.
Manage and oversee legal work performed by internal Corporate Counsel and external counsel.
Assist with all aspects of the company’s compliance with applicable laws and regulations, including the Federal Acquisition Regulation, Foreign Corrupt Practices Act, lobbying and campaign finance rules.
Keep abreast of legal developments affecting the company and inform other company attorneys and affected personnel of such developments.
Provide general legal support and consultation to individuals at all levels of the company in legal, human resources, sales, finance and accounting, marketing, information technology, operations, construction and engineering.
Formulate, draft, and implement corporate policies, monitor compliance with company policies and conduct training for employees regarding such policies.
Formulate and implement “best practices” for the company’s legal department and assist with other aspects of managing the corporate legal function.

Supervisory Responsibilities
Carry out supervisory responsibilities in accordance with the organization's policies and applicable laws. Responsibilities include interviewing, hiring, and training employees; planning, assigning, and directing work; appraising performance; rewarding and disciplining employees; addressing complaints and resolving problems.
This position has supervisory responsibilities. Manages and supervises Corporate Counsel and external counsel. Works with a secretary and paralegal.

Education and/or Experience
Juris Doctor Degree from an ABA accredited law school plus a minimum of 8 years of experience working in-house and/or at a law firm.
Language Skills
Ability to read, analyze, and interpret laws and regulations. Ability to draft commercial contracts and other legal documents and business correspondence. Ability to effectively present information and respond to questions from executives, managers, clients and customers.
Mathematical Skills
Ability to calculate figures and amounts such as discounts, interest, commissions, proportions, percentages, area, circumference, and volume. Ability to apply concepts of basic algebra and geometry.
Reasoning Ability
Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists. Ability to interpret a variety of instructions furnished in written, oral, diagram, or schedule form.
Computer Skills
Knowledge of all Microsoft Office applications.
Certificates, Licenses, Registrations
Licensed attorney in the state of California.
