Overview

The Vice President, Legal Affairs North America will be responsible for providing strategicadvice to leadership on a variety of legal issues that will enable the Company to operate in an efficient manner by cost-effectively overseeing and leading all legal functions in North America, includingcustomer and partnership contracts and negotiations, corporate governance, insurance and similar matters, employment law and other human resource matters, intellectual property, privacy compliance, litigation, trade compliance, and capital transactions.The VP Legal North America willexecute strategies to assess and minimize risk across the organizationand provide oversight in managing legal expenditures and forecasting and preparing the legal department budget.

Responsibilities

This position has three direct reports and works closely with the HR Team, and with executives across Prysmian's North American business units.

Investigate and respond to charges asserted by U.S. state and federal agencies

Advise on regulatory matters, ITAR, EAR, and other similar regulatory and compliance matters.

Providein-house legal counsel on labor and employment related matters, including but not limited to: compliance with all relevant federal, state and local statutory and regulatory matters ( e.g. , Affirmative Action, Title VII, ADA, ADEA, FMLA, FLSA, NLRA, FCRA, USERRA, Immigration, state workers' compensation and unemployment matters, etc.) potential employee disciplinary actions and reductions in force; drafting and revising policies and manuals

Provide traditional labor advice in connection with the Company's unionized facilities, including collective bargaining agreements, grievances, and arbitrations.

Provide day-to-day advice to the business on all intellectual property matters, including adoption and use of trademarks and copyrights.

Lead the day-to-day operations of the legal department ensuring that daily matters and long-term projects are adequately prioritized while taking into account the need to balance risk mitigation with business continuance/development.

Draft and negotiate contracts related to all NA operations of the company and provide contract interpretation and strategy to the leadership team.

Oversee the activities encompassing North American legislative, regulatory, administrative and policy matters.

Provide legal advice to leadership regarding legal spend

Qualifications

  • Juris Doctorate degree from accredited law school
  • KY state bar license or willing to obtain within 6 months of employment
  • At least 10 years of experience representing business entities in either private practice or corporate environment
  • 5 or more years of in-house corporate legal department experience
  • Comfortable in a matrix-based organization with the ability to lead and influence even without directly-assigned supervisorial duties.
  • Ability to use good judgment and to maintain confidentiality of information
  • Entrepreneurial appreciation balanced by broad business and legal judgment; tolerance for ambiguity; decisive, ability to prioritize.
  • Excellent interpersonal, teamwork, and internal client and time management skills - must collaborate and coordinate across departments, business lines and functional support areas.
  • Ability to manage up, down, and work well with peers; ability to push back without alienating others.
  • Ability to deliver complex legal advice in a comprehensive and business-friendly manner
  • Experience representing manufacturing companies preferred
  • Excellent negotiation and research skills
  • Experience representing employers in unionized environment preferred
  • Experience with a Global Corporation headquartered outside of the US preferred
