The Associate Counsel (AC) will work directly with the General Counsel and other company staff to draft, review, and negotiate contracts required by the business, including SaaS agreements, license agreements, services agreements, vendor agreements, and other related technology agreements. The AC will also provide consultation and legal review with respect to intellectual property, regulatory matters, and data privacy and security issues.

Essential Job Responsibilities

  • Draft, negotiate and review SaaS agreements, license agreements, services agreements, vendor agreements, strategic partner agreements, statements of work and other related technology agreements.Assist with trademark management.
  • Work with outside counsel on international issues related to foreign subsidiaries as needed.
  • Review legal issues in Requests for Proposals (RFPs) and related company responses.
  • Juris Doctorate (JD) from a law school approved by the American Bar Association or proper state authorities.
  • Admitted to practice law in Florida.
  • 2-4 year's experience with a law firm and corporate legal department required.
  • 1-2 year’s in-house experience for a company required.
  • Experience reviewing, negotiating and drafting license agreements, SaaS agreements and vendor agreements for a company as part of in-house counsel legal department.
  • Knowledge of data privacy laws.
  • Ability to clearly and effectively communicate verbally and in writing.
  • Strong analytical and decision-making skills.
  • Ability to work in a consultative manner with executives and staff.
  • Ability to work quickly and efficiently in a fast-paced environment.
